AI Governance as an Investment Category: Why It’s Early and Why It Matters

AI governance is becoming infrastructure. And infrastructure categories tend to become investable before most portfolios name them correctly. Gartner now forecasts $2.52 trillion in worldwide AI spending in 2026, up 44% year over year, with AI services alone projected at $588.6 billion and AI cybersecurity at $51.3 billion in 2026. More importantly, Gartner notes that enterprise adoption is being shaped less by raw spending appetite than by organizational readiness, process maturity, and the need for predictable ROI.


That is the signal. When a market moves from experimentation to scaled deployment, governance stops being optional. It becomes a buying layer. At Azafran Capital Partners, we view that transition as one of the more underappreciated opportunities in applied deep tech. In our view, AI governance today sits in a position similar to where cybersecurity sat in the early cloud era: acknowledged as important, underbuilt in practice, fragmented across tools and owners, and on the verge of becoming a non-negotiable budget line. That does not mean every compliance workflow becomes a venture outcome. It does mean the category is early enough to matter and important enough to become structural.

The regulatory clock has already started

Markets do not wait for every company to feel ready. The EU AI Act is now on a live implementation path. According to the European Commission’s AI Act timeline, general provisions and prohibitions applied from February 2, 2025. Rules for general-purpose AI and governance requirements applied from August 2, 2025. The majority of the Act’s rules and enforcement begin on August 2, 2026, with additional rules for high-risk AI embedded in regulated products applying from August 2, 2027.


That matters because regulatory timelines create market categories. Once governance must be in place, companies need more than policy language. They need tooling, auditability, risk controls, model inventory, monitoring, documentation, human oversight, and governance workflows that can survive legal, technical, and board scrutiny. The same page-turn happened in cybersecurity: the moment security became a board issue and procurement requirement, it stopped being a niche technical concern and became a system of spend. Here, the pattern is starting again.


Governance is no longer just policy; it is operating machinery

One reason the category still feels early is that many organizations remain stuck between AI usage and AI control. NIST’s AI Risk Management Framework makes the point clearly: AI risk management is intended to be incorporated into the design, development, use, and evaluation of AI products and systems. In other words, governance is not a memo. It is a repeatable operating discipline. The broader enterprise data says the same thing from another angle. Deloitte’s State of AI in the Enterprise is based on a survey of 3,235 senior leaders across 24 countries and explicitly frames the challenge as one of scaling AI amid operational and organizational complexity. McKinsey’s State of AI similarly found that the transition from pilots to scaled impact remains difficult for most organizations, and that management practices around strategy, operating model, technology, data, and adoption correlate with value creation.


That is exactly why AI governance is investable. Categories become venture-relevant when enterprises need systems, not advice. Inventorying use cases, setting approval gates, tracking model lineage, managing third-party model risk, enforcing usage policies, monitoring outputs, documenting explainability, and aligning controls with emerging regulation all create recurring operational demand. This is not abstract ethics. It is workflow infrastructure.


Why this category is still early

The category is early not because the need is theoretical, but because implementation is still fragmented. PwC’s Responsible AI Survey describes the market as shifting “from policy to practice,” with observability, monitoring, management, and use-case tracking emerging as concrete execution priorities. PwC also reports that nearly 60% of executives say Responsible AI boosts ROI and efficiency, while 55% report improvements in customer experience and innovation. That is a critical marker: governance is starting to be seen not only as risk reduction, but as an enabler of adoption and value capture.


KPMG’s board survey reinforces the immaturity of the current environment. Directors cited risks including inaccurate underlying data, hallucinations, cybersecurity, bias, privacy, regulatory compliance, and IP infringement, while noting that use of recognized risk and governance frameworks is lagging. That is exactly what “early” looks like in a new infrastructure category: high awareness, uneven ownership, inconsistent tools, and rising board attention. From an investment standpoint, that is attractive. Once a control category is fully standardized, much of the venture asymmetry is gone. The better time to pay attention is when urgency is real but market structure is still forming.


Why it matters disproportionately in applied deep tech

Azafran’s bias is toward applied deep tech, not general AI abstraction. That matters here.

In MedTech, IoT, and enterprise B2B, governance risk is often inseparable from product risk. The closer AI gets to regulated workflows, connected systems, decision support, operational automation, or customer-critical environments, the more governance moves into the core of the buying decision. Buyers do not just want model performance. They want accountability, documentation, reliability, escalation logic, and a credible answer to who is responsible when the system fails or drifts.


That creates an important category distinction. Some AI governance tools will remain broad enterprise control layers. Others will become domain-specific governance infrastructure tied to clinical workflows, industrial systems, autonomous agents, or regulated data environments. We expect some of the strongest businesses in the category to emerge from that applied layer, where governance is not generic compliance overhead but part of the product architecture itself. That is where defensible intellectual property and workflow depth can create real moat.


The investment posture from here

We believe AI governance is crossing the line from concern to category. The spending backdrop is there. The regulatory timeline is there. The enterprise operating need is there. And the implementation gap is still wide enough that new platforms, control layers, monitoring systems, and category-specific governance infrastructure can still earn strategic position.

This is why the space matters now. Not because every governance startup will win, and not because regulation alone creates a venture outcome. It matters because enterprise AI is scaling into environments that require trust, auditability, and control. Once that happens, governance becomes part of the deployment stack. That is usually when a market stops being conceptual and starts becoming investable. In the next cycle, we expect the companies that help enterprises operationalize trust in AI to look less like optional tooling and more like core infrastructure.
